Reference is made to the stock exchange announcement published by Epic Gas Ltd. (the “Company“) on 19 February 2021 regarding the board of directors’ resolution to apply for a discontinuance of the Company so it is no longer a company governed by the laws of the British Virgin Islands and to continue the Company to be a company governed by the laws of Singapore (the “Redomiciling“).
As described in the stock exchange announcement on 19 February 2021, the Redomiciling was resolved to be carried out by way of a continuance process where the British Virgin Islands company is continued into Singapore as the same company and with the same assets and liabilities as prior to the Redomiciling. As to the effects of the Redomiciling to the Company’s shareholders, the number of shares held by each shareholder, the principal attributes of the share capital, the transferability of the shares and the voting rights for shares will be the same before and after the Redomiciling.
The Company expects that the Redomiciling will come into effect on 1 March 2021, subject to final approval by ACRA. The Company will have a new company registration number and new ISIN code due to the Redomiciling. The Company has not yet received a new ISIN code and will announce the new ISIN latest on the effective date.
